Senior Counsel The candidate will assist the General Counsel in providing legal advice and representation involving all matters where the Company, including its subsidiaries and affiliates is, or would be, a party. Will be providing legal opinions, interpretations, drafting of documents and other general legal assistance to all levels of Company management on legal issues affecting the Company. Conducts basic legal research under minimum supervision and prepares written opinions based on that research. Prepares drafts of various contractual documents including, leases, licenses, purchase and sale agreements, non-disclosure agreements, and teaming agreements. Prepares corporate resolutions and monitors corporate filings. Participates in company consolidations, dissolutions and mergers. Prepares copyright and trademark applications. Participates in reviewing and drafting various company policies and procedures. Conducts ethics and other employment related investigations under the supervision of the General Counsel and/or Assistant General Counsel. Assists in the preparation of various legal training courses. Interprets various governmental regulations and policies. Accepts other tasks as assigned by the General Counsel.
